Terms of Service

Last updated October 1, 2026

The agreement between you and Midnight Labs when you use Midnight. We have tried to keep it short and plain.

Placeholder text for the Midnight template. Replace it with your own before you launch.

The agreement

By creating an account or using Midnight you accept these terms. If you use it for a company, you accept them on its behalf and confirm that you are allowed to.

Your account

Keep your account details accurate and your sign-in secure. You are responsible for what happens under your account. You must be at least 16 to use Midnight.

Using Midnight

Midnight runs tasks you describe and leaves you briefs and drafts. Drafts wait for your approval unless you allow a task to send on its own.

AI can be wrong. Every line in a brief links to its source so you can check it; please review what Midnight writes before you rely on it or send it.

Your content

You own what you put into Midnight and what it writes for you. You give us permission to process that content only as needed to provide the service to you.

Acceptable use

Please don't use Midnight to:

  • break the law or anyone's rights, or send spam;
  • probe, overload or get around the security of the service;
  • build a competing product or train models on Midnight's output;
  • connect tools in ways their own terms don't allow.

Plans and payment

Paid plans are billed in advance, monthly or yearly, plus any tax. You can cancel at any time and keep access until the end of the period you paid for. We will tell you at least 30 days before a price change affects you.

Changes to the service

We keep improving Midnight and may change or retire features. If a change takes away something you rely on, we will give you notice and a way to export your work.

Ending the agreement

You can close your account at any time. We may suspend accounts that break these terms, and will tell you why unless the law prevents it. After closing, you have 30 days to export your data.

Warranties and liability

Midnight is provided as is. To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability is limited to what you paid us in the 12 months before the claim.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules.
